These Terms of Service ("Terms") govern your use of the EUDR Compliance & Geolocation Audit services provided by BDR Fiduciary Audit LLC ("we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms.

1. Services Description

BDR Fiduciary Audit LLC provides institutional-grade EUDR compliance audit services, including:

• Geolocation data sanitization and verification
• TRACES NT XML preparation and submission support
• Forensic data audit for deforestation-free compliance
• Compliance documentation and audit report generation

Our services are designed to assist businesses in meeting EU Deforestation Regulation (EUDR) requirements effective December 30, 2024.

2. Professional Standards

We perform our audit services in accordance with:

• Wyoming Fiduciary Standards (Wyoming Statutes Title 3)
• EUDR Regulation (EU) 2023/1115
• Applicable GDPR data protection requirements
• Industry-standard forensic data audit methodologies

3. Client Responsibilities

You agree to:

• Provide accurate, complete, and truthful information for audit purposes
• Submit authentic documentation without falsification
• Ensure you have authority to provide geolocation and business data for auditing
• Notify us promptly of any changes to submitted information
• Comply with all applicable laws and regulations in your jurisdiction

4. Data Handling & Confidentiality

We handle your data with strict confidentiality:

• All client data is processed under binding confidentiality agreements
• Geolocation and business data are encrypted using 256-bit SSL/TLS
• Data is retained for statutory compliance purposes only
• We do not share client data with unauthorized third parties

5. Fees and Payment

Service fees are quoted based on scope of work:

• Standard Plot Audit: Starting from $499 USD per plot
• Enterprise Solutions: Custom pricing for batch processing available upon request
• Payment terms are specified in individual engagement agreements
• Professional fee disputes shall be resolved through good-faith negotiation

7. Intellectual Property

All methodologies, frameworks, and proprietary tools developed by BDR Fiduciary Audit LLC remain our intellectual property. Clients receive a limited license to use audit reports for their intended compliance purposes.

8. Limitation of Liability

To the fullest extent permitted by law:

• Our liability is limited to the fees paid for the specific audit service in question
• We are not liable for indirect, consequential, or punitive damages
• We are not liable for decisions made by EU regulatory authorities
• We are not liable for delays caused by client-provided incomplete information

9. Indemnification

You agree to indemnify and hold harmless BDR Fiduciary Audit LLC, its officers, and representatives from any claims arising from:

• Submission of false or misleading documentation
• Unauthorized use of audit reports
• Violations of applicable laws by the client

10. Term and Termination

These Terms remain in effect for the duration of our engagement. Either party may terminate services with written notice. Upon termination, applicable legal record-keeping requirements shall survive.

11. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of Wyoming courts.

12. Dispute Resolution

Professional fee disputes shall first be addressed through direct negotiation. If unresolved within 30 days, disputes may be submitted to binding arbitration in accordance with Wyoming Arbitration Act provisions.

13. Amendments

We reserve the right to modify these Terms. Material changes will be communicated via email or posted notice on our portal. Continued use of services following notice constitutes acceptance of revised Terms.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
